These Terms of Use ("Terms") govern access to and use of the Guroo Health platform, applications, and related services (collectively, the "Platform" or "Services") operated by Guroo Health, Inc. ("Guroo," "we," "us," or "our").
The Platform includes:
AI-driven and voice-enabled knowledge management and SOP tools;
Operational, administrative, and productivity mini‑applications for healthcare practices, clinics, and hospitals;
Configurable workflows and tools customized for individual healthcare organizations.
These Terms apply to:
Clinicians and Healthcare Staff Users ("Clinician Users"), and
Patients or External End Users ("Patient Users") where applicable.
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. IMPORTANT NOTICE
THE PLATFORM DOES NOT PROVIDE MEDICAL ADVICE. Guroo Health provides technology tools that assist with documentation, workflow support, operational efficiency, and information organization. The Platform does not provide medical diagnosis, treatment, or clinical decision‑making and is not a substitute for professional medical judgment.All clinical decisions remain the sole responsibility of licensed healthcare professionals.
2. DEFINITIONS
"Organization" A healthcare practice, clinic, hospital, or entity that licenses or authorizes use of the Platform.
"Content" – Data, text, audio, transcripts, SOPs, workflows, files, or information uploaded, generated, or processed through the Platform.
"AI Outputs" – Summaries, transcriptions, recommendations, or other outputs generated using artificial intelligence.
3. ELIGIBILITY AND ACCOUNTS
3.1 Clinician and Staff Users. You represent that you:
Are authorized by your Organization to use the Platform;
Are legally permitted to access healthcare-related information;
Will use the Platform only within the scope of your professional role.
3.2 Patient Users
Patient Users may access certain features only:
When invited or enabled by a healthcare Organization;
For informational, administrative, or communication purposes;
Not as a replacement for professional medical care.
Patients must be at least 18 years old or have a parent or legal guardian consent.
4. DESCRIPTION OF SERVICES
Guroo Health provides:
AI-assisted documentation and SOP management;
Voice-based capture and transcription tools;
Back-office, administrative, and operational productivity applications;
Customizable workflows for healthcare organizations. Features may vary by Organization and configuration.
5. NO MEDICAL ADVICE OR GUARANTEES
You acknowledge and agree that:
AI Outputs may be incomplete, inaccurate, or outdated;
AI Outputs are intended for support and efficiency only;
All outputs must be reviewed and validated by qualified healthcare professionals before use;
Guroo does not guarantee clinical, operational, or business outcomes.
6. USE OF AI AND VOICE TECHNOLOGY
By using AI‑enabled or voice features, you acknowledge that:
Audio and text may be processed using automated systems;
Outputs are probabilistic and not deterministic;
You are responsible for verifying accuracy before reliance.
You are responsible for obtaining any legally required consent before recording conversations.
7. CONTENT OWNERSHIP AND LICENSES
7.1 Your Content
You retain ownership of your Content.
You grant Guroo a non‑exclusive, worldwide, royalty‑free license to:Host, process, analyze, and display Content;
Generate AI Outputs; Improve and operate the Services.
7.2 De‑identified and Aggregated Data
Guroo may create and use de‑identified or aggregated data derived from Content for lawful business purposes, including product improvement, analytics, and research, in accordance with applicable law.
8. PRIVACY AND HEALTH DATA
Use of the Platform is subject to our Privacy Policy.
Where applicable, Guroo acts as a service provider / processor to healthcare Organizations and does not control how Organizations use patient data.
Organizations are responsible for:
HIPAA or equivalent compliance;
Obtaining patient consent;
Data access permissions.
9. ACCEPTABLE USE
You agree not to:
Use the Platform for unlawful or unauthorized purposes;
Upload malicious, false, or misleading content;
Attempt to reverse engineer or misuse AI models;
Circumvent security controls;
Use the Platform to replace professional medical judgment.
10. THIRD‑PARTY SERVICES
The Platform may integrate with third‑party tools or services. Guroo is not responsible for third‑party services or content.
11. SUSPENSION AND TERMINATION
We may suspend or terminate access if:
These Terms are violated;
Required by law or regulation;
An Organization’s agreement ends.
12. DISCLAIMERS
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." GUROO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON‑INFRINGEMENT.
13. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GUROO SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF DATA, REVENUE, OR BUSINESS INTERRUPTION.
14. INDEMNIFICATION
You agree to indemnify and hold harmless Guroo from claims arising from:
Your misuse of the Platform;
Violation of law;
Clinical decisions or patient interactions.
15. GOVERNING LAW
These Terms are governed by the laws of United States of America, without regard to conflict of law principles.
16. CHANGES TO TERMS
We may update these Terms from time to time. Continued use constitutes acceptance of updated Terms.
